General terms and conditions for steel products Ox Iron Art

Article 1 – Definitions.

1. Seller: Ox Iron Art, established in Hazerswoude-Dorp Netherlands, selling steel products.

2. Buyer: The party purchasing steel products from Seller.

3. Agreement: The purchase agreement between Seller and Buyer in writing or via digital communication.

4. Products: All steels/metal goods supplied by Seller.

Article 2 – Applicability.

1. These Terms and Conditions apply to all quotes, orders and agreements of Seller.

2. Deviations from these terms and conditions are valid only if agreed in writing.

Article 3 – Quotes and Orders

1. All quotations from Seller are without obligation and valid for a period of 30 days.

2. An agreement is established only after written/digital confirmation by Seller.

3. Seller reserves the right to refuse orders without giving reasons.

Article 4 – Delivery and Risk

1. Delivery dates are indicative and not binding unless otherwise agreed in writing.

2. The risk of the products passes to Buyer at the time of delivery.

3. Any transport costs shall be borne by Buyer, unless otherwise agreed.

Article 5 – Prices and Payment

1. All prices are exclusive of VAT and any additional costs such as transportation and insurance and installation.

2. Invoices should be submitted within 14 days from date of invoice.

3. In the event of late payment, Buyer shall owe interest of 6% per month.

4. Seller reserves the right to require advance payment or security.

Article 6 – Retention of title.

1. Products delivered shall remain the property of Seller until full payment has been made.

2. If Buyer fails to fulfill its payment obligations, Seller has the right to take back the products.

Article 7 – Warranty and Liability

1. Seller guarantees that the delivered products comply with the agreed specifications.

2. Any complaints about defects must be made within 14 days after delivery in writing.

3. The warranty does not apply to misuse, normal wear and tear or external damage.

4. Seller’s liability is limited to the invoice amount of the product in question.

Article 8 – Force majeure

1. Seller shall not be liable for delays or failures due to force majeure, including wars, strikes, natural disasters, transportation problems and governmental measures.

2. In case of force majeure, Seller may suspend or terminate the performance of the agreement without compensation.

Article 9 – Termination of the Agreement.

1. Seller has the right to terminate the agreement with immediate effect if:

– Buyer is declared bankrupt or files for suspension of payments;

– Buyer fails to meet its payment obligations.

2. In the event of termination, all outstanding invoices shall remain immediately due and payable.

Article 10 – Applicable Law and Disputes.

1. These terms and conditions and agreements are governed by Dutch law.

2. Disputes shall be settled exclusively by the competent court in Netherlands.

Article 11 – Intellectual Property and Exclusivity.

1. All designs, drawings, sketches, prototypes and finished products created by Ox Iron Art shall remain the intellectual property of Seller.

2. Buyer and third parties are not permitted to copy, reproduce or have designs of Ox Iron Art, to copy, reproduce or have them made by another without prior written permission from Seller.

3. Any wrought iron/cast iron/steel/metal product is custom and uniquely designed for the customer and may not be imitated or commercially exploited by other parties.

4. In case of violation of this article, Seller has the right to claim damages and take legal action.
