Terms and Conditions for Ox Iron Art Steel Products
Article 1 – Definitions
1. Seller: Ox Iron Art, located in Hazerswoude-Dorp the Netherlands, which sells steel products.
2. Buyer: The party that purchases steel products from the Seller.
3. Agreement: The purchase agreement between the Seller and the Buyer in writing or via digital communication.
4. Products: All steel/metal goods delivered by the Seller.
Article 2 – Applicability
1. These Terms and Conditions apply to all quotations, orders, and agreements entered into by the Seller.
2. Any deviations from these terms and conditions are valid only if agreed upon in writing.
Article 3 – Quotes and Orders
1. All quotations from the Seller are non-binding and valid for a period of 30 days.
2. An agreement is not concluded until it has been confirmed in writing/digital confirmation by the Seller.
3. The seller reserves the right to refuse orders without providing a reason.
Article 4 – Delivery and Risk
1. Delivery times are approximate and not binding, unless otherwise agreed in writing.
2. The risk associated with the products passes to the Buyer upon delivery.
3. Any shipping costs shall be borne by the Buyer, unless otherwise agreed.
Article 5 – Prices and Payment
1. All prices are exclusive of VAT and any additional costs, such as shipping and insurance and installation.
2. Invoices must be submitted within 14 days of the invoice date.
3. In the event of late payment, the Buyer shall owe interest without further notice of default at a rate of 6% per month.
4. The seller reserves the right to require payment in advance or a security deposit.
Article 6 – Retention of Title
1. The delivered products remain the property of the Seller until full payment has been made.
2. If the Buyer fails to meet its payment obligations, the Seller has the right to take the products back.
Article 7 – Warranty and Liability
1. The Seller warrants that the delivered products comply with the agreed specifications.
2. Any complaints regarding defects must be submitted within 14 days of delivery.
3. The warranty does not apply in cases of misuse, normal wear and tear, or external damage.
4. The Seller’s liability is limited to the invoice amount for the product in question.
Article 8 – Force Majeure
1. The Seller shall not be liable for delays or failures resulting from force majeure, including wars, strikes, natural disasters, transportation problems, and government measures.
2. In the event of force majeure, the Seller may suspend or terminate the performance of the agreement without liability for damages.
Article 9 – Termination of the Agreement
1. The Seller has the right to terminate the agreement with immediate effect if:
• The buyer is declared bankrupt or files for a stay of payments;
• The buyer fails to meet their payment obligations.
2. In the event of termination, all outstanding invoices become immediately due and payable.
Article 10 – Governing Law and Disputes
1. These terms and conditions are governed by Dutch law.
2. Disputes shall be settled exclusively by the competent court in the Netherlands.
Article 11 – Intellectual Property and Exclusivity
1. All designs, drawings, sketches, prototypes, and finished products created by Ox Iron Art remain the intellectual property of the Seller.
2. The Buyer and third parties are not permitted to copy, reproduce, or have others produce designs by Ox Iron Art without the prior written consent of the Seller.
3. Any wrought iron/cast iron/steel/metal product is custom-made and uniquely designed for the customer and may not be replicated or commercially exploited by other parties.
4. In the event of a violation of this section, the Seller has the right to claim damages and take legal action.
